❓What is the “platform exit” and when is it happening?

Our platform exit refers to the planned institutional sale of the Cornerstone MSO Alliance and its network of healthcare practices and service companies. We’re targeting a closing window between November 2025 and March 2026, in partnership with ProactiveMD, JP Morgan, and a pool of Fortune 500 buyers.

❓Who qualifies to participate in the platform exit?

We are onboarding:

• Private Companies: generating $1M–$50M+ in annual revenue

• Private practices: Primary Care, Health & Wellness, Dental, Health & Wellness & more

• Healthcare Service Companies: (billing, staffing, tech, etc.) with scalable potential
  Each participant must complete onboarding, pass due diligence, and align operationally with our platform.

❓What do I get by participating?

You receive:

• ✅ A fair market valuation (FMV) payout at exit (first bite of the apple)

• ✅ A % of distributions of the exit proceeds attributed to your business (second bite)

❓How is my valuation calculated?

At exit, your attributed valuation is determined by:

1. The same gross revenue multiple applied to the entire platform (6–10X range)

2. Your company’s TTM (Trailing Twelve Month) revenue

3. Deductions for any outstanding liabilities and taxes

4. You receive your FMV + a % of the remaining Net Attributed Value.

❓Do I have to give up control of my business?

No. As part of our structure:

• You retain 100% operational and clinical control

• You gain access to our MSO resources to drive performance

• You assign non-clinical assets or equity in exchange for Transaction Units—your stake in the platform exit
